This TERMS AND CONDITIONS AGREEMENT sets forth the agreement between SalesTeam East LLC and each affiliate marketer. 

Please read this agreement carefully before joining the SalesTeam East affiliate program. By joining the SalesTeam East affiliate program, you signify your assent to this Service Agreement. If you do not agree to the terms and conditions contained in this Service Agreement, please do not join the SalesTeam East Affiliate program.

By joining the SalesTeam East affiliate program and promoting our products you are agreeing to abide by following terms & conditions (rules) set forth below:

Affiliate Qualifications                                                                                                                 You agree that you as the person legally responsible for use of this account, are at least 18 years of age. You agree to supply SalesTeam East with a current and truthful name, postal address, email address and telephone number for our records, and you have a continued obligation to keep this information current. The SalesTeam East Affiliate Program is free of charge:

a) We make no warranties or representations of any kind for the services being offered. 
b) The service is provided on an "as is" and "as available" basis without warranties of any kind
c) Reports may or may not be available on a real-time basis. 

Communications                                                                                                                                                        Email messages will be sent to the email address you supply to us on the sign-up page. We will not sell your email address to any third party. We will send email messages such as information on new programs, information on products and services offered by SalesTeam East, our partners and other advertisers. You may opt-out of receiving these types of messages at any time.
 

Use Of Downloadable Software
SalesTeam East does not permit the promotion of our products within downloadable software. This includes, but not limited to Browser Help Operators (BHO's), Search Bar Tools, Shopping Enhancers, Top Moxies, etc... Any affiliate that is discovered to be promoting our products in any type of software will have all sales reversed and their account terminated.

Trademarks and Copyright
All Web site design, text, graphics, sound, software and other content, and the selection and arrangement thereof, are the property of SalesTeam East or its licensors, and are protected by United States and international copyright law. All rights to such materials are reserved to their respective copyright owners. Permission is granted to electronically copy and to print in hard copy portions of this Web site for the sole purpose of promoting the SalesTeam East Affiliate Program or using this Web site as a shopping vehicle. Any other use of materials on this site, including without limitation reproduction for purposes other than noted above, modification, distribution, replication, commercial or other exploitation, or creation of derivative works, without the prior written permission of SalesTeam East, is strictly prohibited.

Promoting The SalesTeam Brand Name
SalesTeam East reserves the right to refuse or discontinue service to anyone at SalesTeam East's sole discretion. SalesTeam East may deny you access to all or part of the service without notice if you engage in any conduct or activities that SalesTeam East in its sole discretion believes violates any of the terms and conditions in this agreement. In order to maintain our integrity and recognizable brand name in the marketplace, we ask that all of our affiliates do not engage in any of the following activities:

• Mislead others.

• Operate or utilize a Web site or email link to Web sites that contain or promote any of these types of content: libellous, defamatory, obscene, abusive, violent, bigoted, hate-oriented, illegal, cracking, hacking or warez, or that offer any illegal good or service, or link to a Web site(s) that do so and/or.

• Engage in spamming, indiscriminate advertising or unsolicited commercial email.

• Engage in cyber squatting or typo squatting.

We reserve the right to terminate the affiliate relationship with you for violation of any of the above mentioned items at any time within our sole discretion with or without notice. We will not disclose any financial data or disclose any of your confidential information.
 

Payment Of Commission
SalesTeam East will pay all of our affiliates by the 25th of the following month provided that the affiliates commission is $50 or greater. All commissions will be paid in USD currency. SalesTeam East reserves the right to withhold any commissions it deems as fraudulent such as those being earned or obtained through the use or spy ware, BHO's or any other commission altering software program.  Unless otherwise stated, commission will be paid according to the following schedule:

Applicable Law; Jurisdiction
Accounts may only be used for lawful purposes. Any use of these services which violates any local, state, federal, or international laws which may apply to SalesTeam East, your local jurisdiction, or any jurisdiction that you, your site, or your sales area may be subject to is strictly prohibited. This agreement shall be governed by and construed in accordance with the laws of New Jersey without regard to choice of law rules. Each user agrees to submit to personal jurisdiction in Belize and further agrees that any cause of action arising from or relating to the use of this site or this agreement shall be brought exclusively in a court in New Jersey.
